CodeLaunch Website Package Development and Terms and Conditions of Use

We will always do our best to fulfil your needs and meet your expectations, but it’s important to have things written down so that we both know what’s what, who should do what and when, and what will happen if something goes wrong. In these Terms of Use you won’t find any complicated legal terms or long passages of unreadable text. We’ve no desire to trick you into agreeing to something that you might later regret. What we do want is what’s best for both parties, now and in the future.

Acknowledgement and Definitions

CodeLaunch (“Us”, “We” or "CodeLaunch Limited") provides the website and various CodeLaunch related services (collectively, the “Website”) to you, the “Client”, subject to your compliance with all the terms, conditions, and notices contained or referenced herein (the “Terms of Use”), as well as any other written agreement between us and you.

As used in these Terms of Use, references to our “Affiliates” include our owners, subsidiaries, affiliated companies, officers, directors, suppliers, partners, sponsors, and advertisers, and includes (without limitation) all parties involved in creating, producing, and/or delivering the Client Website and/or its contents.

What do both parties agree to do?

You (Client): You have the authority to enter into this agreement on behalf of yourself, your company or your organisation. You’ll give us everything we need to complete the project as and when and in the format we need it. You’ll review our work, provide feedback and approval in a timely manner too. Deadlines work two ways, so you’ll also be bound by dates we set together. You also agree to stick to the payment schedule set out in your personal Purchase Order by CodeLaunch.

Us (CodeLaunch Limited): We have the experience and ability to do everything we’ve agreed with you and we’ll do it all in a professional and timely manner. We’ll endeavour to meet every deadline that’s set and on top of that we'll maintain the confidentiality of everything you give us.

Content

Design

We create look-and-feel designs, and flexible layouts that adapt to the capabilities of many devices and screen sizes. We create designs iteratively and use predominantly HTML and CSS so we won’t waste time mocking up every template as a static visual. We may use static visuals to indicate a look-and-feel direction (colour, texture and typography.) We call that ‘design atmosphere.’

You’ll have two or more weekly opportunities to review our work and provide feedback. If, at any stage, you’re not happy with the direction our work is taking, you’ll pay us in full for everything we’ve produced until that point and cancel this contract.

Text content

We’re not responsible for writing any text copy. This must be provided by the Client, as you know your industry and language better than us and make the process much faster with minimal errors. If you’d like us to write new content or input text for you, this must be part of a "Website Maintenance" agreement where we work with you to create new content, separately to your Monthly Website Design Package.

Photographs

You should supply graphic files in an editable, vector digital format. You should supply photographs in a high resolution digital format. If you choose to buy stock photographs, we can suggest stock libraries. We offer included stock photos that are used in your bespoke designed pages as part of your package as described on our pricing page. If you’d like us to search for additional photographs for you outside of your package, we can provide a separate estimate for that.

Browser testing

Browser testing no longer means attempting to make a website look the same in browsers of different capabilities or on devices with different size screens. It does mean ensuring that a person’s experience of a design should be appropriate to the capabilities of a browser or device.

We test our work in current versions of major desktop browsers including those made by Apple (Safari), Google (Chrome), Microsoft (Internet Explorer and Edge) and Mozilla Firefox. We’ll also test to ensure Microsoft Internet Explorer 11 for Windows users get an appropriate, possibly different, experience. We won’t test in other older browsers and minority desktop browsers.

Legal stuff

You the Client agree to defend, indemnify, and hold us and our Affiliates harmless from all liabilities, claims, and expenses, including attorney’s fees, that arise from your use or misuse of your Website such as any and all statements made and acts or omissions that occur as well as the use without permission of any copyrighted content. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defences.

You the Client are solely responsible for maintaining the confidentiality of your password and account for your Website. You must take steps to ensure that others do not gain access to your password and account. (Our personnel will never ask you for your password).

We can’t guarantee that our work will be error-free and so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them. Finally, if any provision of these Terms of Use shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.

Copyrights

First, you guarantee that all elements of text, images or other artwork you provide are either owned by you, or that you’ve permission to use them.

Pay Monthly Website Packages

Once your first month payment has cleared and you have signed a minimum 12-month Purchase Order (for "Monthly Payment Package Website"), copyright will be automatically assigned as follows:

You’ll own the static images and logos that we create for this project. We’ll give you finished production files and you should keep them somewhere safe as we’re not required to keep a copy. You own all elements of text, images and data you provided, unless someone else owns them.

We will own the unique combination of these elements that constitutes a complete design, the Website source code, Content Management System (CMS) and any third party software licensed by CodeLaunch Limited and we’ll license the use to you, exclusively while you are subscribed and paying for your monthly package and for this project only, for the first 12 months and on a 1 month rolling contract afterwards, unless we agree otherwise.

One-Off Complete Payment Website Package

When your final payment has cleared, copyright will be automatically assigned as follows:

You’ll own the static images and logos that we create for this project. We’ll give you finished production files and you should keep them somewhere safe as we’re not required to keep a copy. You own all elements of text, images and data you provided, unless someone else owns them.

We’ll own the unique combination of these elements that constitutes a complete design and we will license that to you, exclusively in perpetuity for this project only, unless we agree otherwise. Excluding the Website source code, Content Management System (CMS) and any third party software licensed by CodeLaunch Limited seperately that will not be owned by the Client.

If payment is not received on time, we reserve the right to revoke the services provided after notification to you via email or telephone, including, but not limited to your Website and email access.

Our Portfolio

We love to show off our work and share what we’ve learned with other people, so we reserve the right, with your permission, to display and link to your project as part of our portfolio and to write about it on websites, in magazine articles and in books.

Domain Name Registration

If you already own a domain name, CodeLaunch offers to take control and manage this for you if you wish as part of any Monthly Website Package. This is simply to make the process of updating any domain records easier for you. You are free to keep your domain name in your own account with a registrar if you wish and we will give any instructions to update any settings when needed.

As part of any of our packages, we offer one ".co.uk" domain name free of charge for each client; however we reserve the right to apply a charge if required. The price will vary depending on the chosen domain name. For as long as you remain a client, each domain name under our control will be automatically renewed by us annually, free of charge.

Subject to our terms of business, we will transfer any domain names relating to you on termination of your contract with us for a small administrative fee of £49 per domain. Should you not request in writing for your domain name to be transferred to you at the end of your contract term then it will be allowed to expire.

Payment Terms

Pay Monthly Website Packages - Payment shall be made by Direct Debit through CodeLaunch Limited “GoCardless” direct debit service only, unless agreed otherwise in writing. Bank information must be supplied by the Client prior to any shipment of the services/ goods including email services and Website deployments to live servers and is requested after the signing of your Purchase Order. Unless otherwise agreed in writing by CodeLaunch Limited to Client, Direct debit payments will normally be collected by GoCardless on the fifth day of the month following signing date of your Purchase Order agreement.

Payments will be on a per month basis in a 12 month rolling contract. After the first 12 months of the signing of your Purchase Order, you the Client must give a minimum of 1 month notice to terminate this agreement unless stated otherwise in writing by CodeLaunch Limited (Refer to your purchase order for price specification). If payment is not received within 10 working days after any invoice due date your Website will be taken offline. If payment is received after the Website has been taken offline but before the 30 day contract termination the Website will be brought back online within 2 working days if it possible to do so.

One-off Payment Websites - Services will be charged at the amount agreed upon in writing with CodeLaunch Limited, (Refer to purchase order for price specification). Once a 50% deposit has been paid successfully and signing of a Purchase Order by the Client, the work will commence, once the final 50% of the total price has been paid successfully, the ownership of the Website text content and images will belong to the Client, excluding the Website source code, management system (CMS) and any third party software licensed by CodeLaunch Limited that will not be owned by the Client. After the first 12 months there will be an additional hosting fee of £160.00p/a to cover costs for website hosting, email services, daily backups and technical support.

The Client must inform CodeLaunch Limited if they wish to use a different hosting service BEFORE the 12 month period from the date of CodeLaunch Limited receiving the final 50% payment onwards. If no contact is made between this period, the Client will be liable for the hosting fee for the next 12 months.

Termination of Use

If at any point during your 12 month contract agreement you wish to terminate your contract you are free to do so, however when the contract is terminated before the minimum agreed term there will be fees equivalent to 18 months of your agreed monthly payments, minus the total of your previous payments from the start date of your contract (“Cancellation Fees”). We also have the right to terminate the contract at any point if payment has not been received within 30 days after the due date of an invoice for any sum due in the contract, in which case the same Cancellation Fees will apply. You the client agree that we may terminate or suspend your access to all or part of the Website and terminate the contract with or without notice if a breach of these Terms of Use occurs. Any suspected fraudulent, abusive or illegal activity may be grounds for terminating your relationship and contract and may be referred to appropriate law enforcement authorities.
